Our services include, but are not limited to, systems architecture and design, custom software development, cloud infrastructure integration, data engineering, cybersecurity assessment and implementation, and general technology consulting.

The specific scope, deliverables, timeline, and fees for any professional services engagement will be set forth in a separate written agreement, statement of work, or service proposal executed between you and Ghost Auto STG LLC. In the event of any conflict between these Terms and the terms of a separately executed service agreement, the terms of the service agreement shall prevail with respect to the specific engagement.

We make no guarantee or warranty that the information, materials, or services available on or through our website will meet your specific requirements or that access to the website will be uninterrupted, timely, secure, or error-free. We reserve the right to modify, suspend, or discontinue any aspect of our website or services at any time without prior notice or liability.

6. Payment Terms

Fees for professional services will be negotiated and agreed upon in a separate service agreement or statement of work prior to the commencement of any project. Unless otherwise specified in writing, all fees are quoted and payable in United States Dollars. Payment terms, including invoicing schedules, due dates, and accepted payment methods, will be detailed in the applicable service agreement.

Late payments may be subject to interest charges at the rate of 1.5 percent per month, or the maximum rate permitted by applicable law, whichever is lower. You agree to reimburse us for all reasonable costs and expenses, including collection agency fees and legal fees, incurred in the collection of any overdue amounts.

All fees are exclusive of applicable taxes, levies, or duties imposed by any taxing authority. You are responsible for payment of all such taxes, excluding taxes based on our net income. If we are required to pay any taxes on your behalf, you agree to promptly reimburse us for such amounts.

7. Refund and Cancellation Policy

Our refund and cancellation policies are governed by the terms set forth in the specific service agreement or statement of work executed for each engagement. Generally, fixed-price project engagements may include milestone-based payment schedules with partial refund eligibility if a project is cancelled before certain milestones are completed.

For time-and-materials or retainer-based engagements, fees for hours already expended or costs already incurred prior to cancellation are non-refundable. Any unearned prepaid amounts will be refunded on a pro-rata basis within thirty days of cancellation, less any outstanding amounts owed for work performed or expenses incurred.

Either party may cancel a service engagement by providing written notice in accordance with the termination provisions of the governing service agreement. In the absence of specific cancellation terms in a service agreement, either party may cancel an engagement upon thirty days written notice, subject to payment for all work performed through the effective date of cancellation.

8. Intellectual Property Rights

All content, materials, features, and functionality available on or through the Ghost Drive website, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software code, design elements, and the overall look and feel of the site, are owned by Ghost Auto STG LLC or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The Ghost Drive name, the Ghost Drive logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Ghost Auto STG LLC or its affiliates. With respect to custom deliverables created pursuant to a service agreement, ownership and license rights in the work product will be set forth in the applicable service agreement. Unless otherwise expressly provided in a signed written agreement, we retain all rights, title, and interest in and to any pre-existing materials, tools, methodologies, and intellectual property used to develop deliverables, and you receive only the rights expressly granted in the service agreement.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and view the content on our website for your personal, non-commercial use only. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our website except as expressly permitted by these Terms.

The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of these Terms, including any claim that all or part of these Terms is void or voidable. The arbitral award may be entered as a judgment in any court of competent jurisdiction. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm, including but not limited to the protection of intellectual property rights or confidential information.
